Sustainability Committee
The Sustainability Committee (“the Committee”) is established to oversee the overall strategic direction, policies and regulations on Environmental, Social, and Governance (“ESG”) or sustainability as well as Corporate Social Responsibility (“CSR”) of Bank of Ayudhya Public Company Limited (“the Bank”) and the companies under the Bank’s financial business group (“the Group Companies”). The scope of authority, duties, and responsibilities are as follows:
- Develop the Bank’s and the Group Companies’ policy, direction, and framework on ESG or sustainability, in particular, the environmental and climate change (E&C) agenda as well as CSR, in alignment with the principle of sustainable banking and regulators’ guidance and expectation as well as The United Nations Sustainable Development Goals (the UN SDGs) at large, to be proposed to the Executive Committee for approval
- Determine material ESG matters and maintain oversight of ESG matters including environmental and climate change risks and opportunities which may affect Krungsri’s business activities
- Ensure consistency and alignment of Krungsri’s corporate sustainability agenda with that of MUFG Bank, Ltd. and international best practices, commensurate to Krungsri’s business model
- Monitor progress on strategies and targets, particularly key milestones established by the Bank of Thailand (BOT) and/or the Thai Bankers’ Association (TBA) on sustainable banking and environmental and climate change agendas
- Ensure compliance with leading best practices in the management and disclosure of corporate sustainability issues, opportunities, progress, and results
- Oversee, approve, and monitor the Net Zero Working Group on agendas, among others, transition plan execution, own emissions reduction strategy execution, financed emissions pathways, Social and Sustainable Finance (SSF) Target, industry engagement and advocacy strategy, and ESG-related disclosure strategies
- Review and provide advice on sustainability reporting to ensure that the Bank and the Group Companies’ reporting comply with recommendations and regulations prescribed by the Securities and Exchange Commission (SEC) and the Stock Exchange of Thailand (SET)
- Oversee rating agency engagements (including traditional and ESG rating agencies), including engagement with debt and equity investors and preparation of investor relations content for quarterly and full year financial results
The Sustainability Committee shall report directly to the Executive Committee, and the Committee meeting shall be held at the frequency deemed necessary for efficient operations. However, it shall be held no less than once a quarter at a scheduled period as deemed appropriate.
